1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY NAME AND FORM, for example: Greekly LLC, a [STATE] limited liability company] ("Greekly," "we," "us," or "our"). They govern your access to and use of the Greekly mobile application, related content, and services (together, the "Service").

By creating an account, checking the acceptance boxes presented in the app, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent that this is true and that all registration information you provide is accurate.

3. What Greekly Is (and What It Is Not)

Greekly is a subscription app that publishes market information for educational and informational purposes. The Service includes systematically generated options trade alerts, market data displays, watchlists, simulated (paper) trading tools, and simulated model portfolios whose activity is published to all subscribers on an identical basis.

Greekly is a publisher of impersonal market information. Greekly is not a broker-dealer, investment adviser, financial planner, commodity trading advisor, or fiduciary. Greekly does not execute real trades, does not hold or have access to your money or securities, does not connect to any brokerage account, and does not provide individualized investment advice or recommendations tailored to you.

4. No Investment Advice; No Advisory Relationship

All content in the Service, including alerts, is general and impersonal. It is not tailored to your financial situation, objectives, experience, or risk tolerance, and it is not a recommendation that you, personally, buy or sell any security or pursue any strategy.

You are solely responsible for your own investment decisions. Before making any investment decision, you should do your own research and consider consulting a licensed financial professional. No advisory, fiduciary, or client relationship is created by your use of the Service.

5. Options Risk Disclosure

Options trading involves substantial risk and is not suitable for all investors. You can lose the entire amount paid for an option in a short period of time. Prices can move rapidly, liquidity can disappear, and options can expire worthless. Certain strategies carry additional risks, including assignment and losses greater than the amount initially invested.

Before trading options, read "Characteristics and Risks of Standardized Options," published by the Options Clearing Corporation and available from your broker or from the Options Clearing Corporation. Never trade with money you cannot afford to lose.

6. Simulated Trading and Hypothetical Performance

The Service includes a simulated trading environment, including a personal paper trading account and shared model portfolios. No real money is used, and no actual orders are sent to any exchange or broker. Simulated fills reference real market quotations at the time of the simulated fill, but the results remain hypothetical.

HYPOTHETICAL AND SIMULATED PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN. SIMULATED TRADING DOES NOT INVOLVE FINANCIAL RISK, AND NO SIMULATED RECORD CAN COMPLETELY ACCOUNT FOR THE IMPACT OF FINANCIAL RISK IN ACTUAL TRADING. THE ABILITY TO WITHSTAND LOSSES AND TO ADHERE TO A PARTICULAR PROGRAM IN SPITE OF LOSSES ARE MATERIAL POINTS THAT CAN ADVERSELY AFFECT ACTUAL TRADING RESULTS. SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING AND MAY NOT REFLECT FACTORS SUCH AS MARKET IMPACT, LIQUIDITY CONSTRAINTS, PARTIAL FILLS, BROKERAGE COMMISSIONS AND FEES, OR TAXES. PAST PERFORMANCE, WHETHER REAL OR SIMULATED, IS NOT INDICATIVE OF FUTURE RESULTS.

7. Alerts, Data, and Content Limitations

Alerts and other content are generated by automated, rules-based systems using data licensed from third-party providers. Market data may be delayed, incomplete, or inaccurate, and the Service may be interrupted or unavailable. We do not guarantee the accuracy, timeliness, or completeness of any content, and we do not guarantee that any alert or strategy will be profitable. Alert frequency varies with market conditions and may be low by design.

8. Subscriptions and Billing

Paid access is sold as an auto-renewing subscription through Apple's App Store. The price and term are shown at the point of purchase. Your subscription renews automatically unless canceled at least 24 hours before the end of the current period. You can manage or cancel your subscription in your Apple ID account settings. Payments, refunds, and billing disputes are handled by Apple under Apple's terms. We may change subscription features or pricing prospectively; changes will not affect a period you have already paid for.

9. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Provide accurate information, keep it current, and notify us promptly of any unauthorized use. One account per person.

10. License and Acceptable Use

We grant you a personal, non-commercial, non-transferable, revocable license to use the Service. You agree not to: (a) redistribute, republish, resell, or systematically share alerts, market data, model portfolio records, or other content from the Service; (b) scrape, harvest, or extract data by automated means; (c) reverse engineer or attempt to access non-public parts of the Service; (d) circumvent technical or security controls; (e) use the Service in violation of any law; or (f) present Service content to others as personalized investment advice. Market data in the Service is licensed from third-party providers and may not be redistributed.

11. Intellectual Property

The Service, including its software, design, branding, and content, is owned by Greekly or its licensors and is protected by intellectual property laws. Except for the limited license above, no rights are granted to you. If you send us feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.

12. Third-Party Services

The Service relies on third-party services, including Apple, cloud infrastructure providers, and market data providers. We are not responsible for third-party services, and their availability or accuracy is not guaranteed. Mention of any security, company, or third party in the Service is not an endorsement.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DATA OR CONTENT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREEKLY AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR TRADING LOSSES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED US DOLLARS. YOU ACKNOWLEDGE THAT YOUR TRADING DECISIONS ARE YOUR OWN AND THAT GREEKLY IS NOT RESPONSIBLE FOR ANY TRADING RESULTS.

15. Indemnification

You agree to indemnify and hold Greekly harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service.

16. Dispute Resolution

[ATTORNEY DECISION REQUIRED: Counsel to determine whether disputes will be resolved by binding individual arbitration with a class action waiver (with small claims and opt-out carve-outs) or in the courts of a chosen venue. The app records the version you accepted.

19. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including Sections 5, 6, 10, 11, 13, 14, 15, 16, and 17) survive.

20. Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and Greekly regarding the Service. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver of it.
